TERMS AND CONDITIONS OF SALE

Effective as of June 1, 2026

Article 1 – Purpose and Scope

These Terms and Conditions of Sale (hereinafter "T&Cs") govern all sales of products made by NumerikArt (Jerome Gillas, sole trader / auto-entrepreneur, SIRET 92421003200018, registered in Marignane, France) through the online store X.oR Factory, accessible at xorfactory.com (hereinafter "the Store").

X.oR Factory is a collector streetwear brand belonging to the Digital Chaos by G-rOm creative universe. Products are limited-edition fashion items produced on demand (Print-On-Demand) through our fulfillment partner PODpartner and shipped internationally.

By placing an order on the Store, the customer fully and unconditionally accepts these T&Cs. The customer declares that they have the legal capacity to enter into a binding contract. These T&Cs are written in both French and English; in the event of any conflict or ambiguity, the French version shall prevail.


Article 2 – Products

The products available for sale are clothing and accessories (t-shirts, sweatshirts, etc.) whose key characteristics are presented on each product page of the Store: description, fabric weight, material composition, available colors, and design visuals.

X.oR Factory offers two main product lines:

  • Entry Line (280–285 GSM): Boxy and Snow Wash t-shirts, starting from $45 USD.
  • Premium Line (425 GSM): Heavyweight t-shirts, starting from $55 USD.

All products are manufactured on demand after payment is confirmed. No physical stock is held. As a result, products cannot be reserved or placed on hold.

Product photographs and visuals displayed on the Store are provided for illustrative purposes. Slight color variations may exist between on-screen display and the final printed item, which are inherent to the DTG (Direct-to-Garment) digital printing process. Such variations do not constitute a product defect.

NumerikArt reserves the right to modify the catalog, discontinue the sale of any product, or launch new items at any time without prior notice.


Article 3 – Pricing

All prices are displayed in US Dollars (USD), inclusive of any applicable taxes. NumerikArt operates under the French VAT exemption scheme (Article 293B of the French General Tax Code): French VAT does not apply and is not charged. The mention "VAT not applicable — Art. 293B CGI" appears on all order confirmations.

Any customs duties, import taxes, or local fees applicable in the customer's country are the sole responsibility of the customer. NumerikArt cannot be held liable for such charges.

NumerikArt reserves the right to modify its prices at any time. Orders are billed at the price in effect at the time the order is confirmed.


Article 4 – Orders

4.1 Order Process

The customer selects the desired products, chooses their size and color, and adds them to the cart. The order is confirmed after entering shipping information and payment details, followed by final confirmation.

An order confirmation email is sent to the customer after payment is validated. This email serves as an acknowledgment of receipt and summarizes the items ordered, the total amount, and the delivery address.

4.2 Modification and Cancellation

As products are manufactured on demand, all orders are final once confirmed. No modifications (size, color, shipping address) are possible after payment has been validated. In the event of an input error, the customer must immediately contact customer service at the address provided in Article 10, with no guarantee of resolution if production has already begun.


Article 5 – Payment

Full payment is required at the time of ordering. The Store accepts the following payment methods, managed by Shopify Payments or its approved partners:

  • Credit/debit card (Visa, Mastercard, American Express)
  • PayPal
  • Other methods offered via Shopify Payments depending on the customer's region

Payment data is processed securely by Shopify Payments and its PCI-DSS certified providers. NumerikArt does not store any banking or card data.

In the event of a payment failure, the order is automatically cancelled. NumerikArt reserves the right to refuse any order that presents a fraud risk or is subject to an unresolved dispute.


Article 6 – Production and Shipping

6.1 Production Lead Time

As X.oR Factory products are manufactured on demand by our fulfillment partner PODpartner, a production lead time of 2 to 7 business days should be expected before shipment. This lead time may be extended during periods of high demand (holidays, special drops).

6.2 Delivery Timeframes

After dispatch, the following indicative delivery timeframes apply:

  • France and Europe: 5 to 10 business days
  • United States and Canada: 7 to 14 business days
  • Rest of the world: 10 to 21 business days

These timeframes are provided as estimates and may vary depending on the carrier, customs processing, and the final destination. NumerikArt cannot be held responsible for delays attributable to postal services, carriers, or customs authorities.

6.3 Shipping Costs

Shipping costs are calculated and displayed at checkout, based on the destination and the order weight. They are the responsibility of the customer unless a promotional offer explicitly includes free shipping.

6.4 Order Tracking

A tracking number is communicated to the customer by email upon shipment, when available from the carrier partner.


Article 7 – Right of Withdrawal and Returns

7.1 Made-to-Order Products — Exclusion of Right of Withdrawal

In accordance with Article L221-28 of the French Consumer Code and equivalent regulations within the European Union, the 14-day right of withdrawal does not apply to goods made to the consumer's specifications or clearly personalized.

X.oR Factory products are printed and assembled on demand, based on the design, size, and color selected by the customer. They therefore fall within this exclusion. As a result, no returns or refunds are accepted on grounds of personal preference (wrong size ordered, change of mind).

Customers are strongly encouraged to carefully consult the size guide available on each product page before placing an order.

7.2 Defective Product or Order Error

In the event of a defective product received (printing defect, damaged item) or an order error attributable to NumerikArt or PODpartner (wrong item or wrong size shipped), the customer has 14 calendar days from the date of receipt to contact customer service, providing:

  • Their order number
  • A clear description of the issue
  • Clear photographs of the product received

Upon verification, NumerikArt will arrange for the correct product to be reshipped or issue a refund, depending on the situation. The defective product does not need to be returned unless expressly requested.


Article 8 – Warranties

NumerikArt guarantees that the products delivered conform to the descriptions published on the Store at the time of the order. Products are covered by the legal guarantee of conformity (Articles L217-4 et seq. of the French Consumer Code) and the guarantee against hidden defects (Articles 1641 et seq. of the French Civil Code).

The warranty does not cover defects resulting from misuse, washing that does not comply with the care instructions (care label), or normal wear and tear.


Article 9 – Intellectual Property

All designs, graphics, logos, names, and visuals featured on X.oR Factory products and on the Store are the exclusive property of NumerikArt (Jerome Gillas) or are used with authorization. They are protected by copyright and applicable intellectual property laws.

The purchase of a product does not grant the customer any right to reproduce, commercially exploit, or resell the designs for profit. Any unauthorized reproduction, imitation, or exploitation of the Store's elements or products is strictly prohibited and may result in legal proceedings.

Some designs pay tribute to artists or cultural universes (music, cinema, gaming). NumerikArt declares that these creations are original artworks by G-rOm (Jerome Gallas) and are not reproductions of third-party protected materials.


Article 10 – Customer Service and Claims

For any question, complaint, or order-related inquiry, customers may contact NumerikArt via:

  • The contact form available on the Store
  • The dedicated email address available in the "Contact" section of the Store

NumerikArt is committed to responding within 3 to 5 business days. Requests submitted without an order number or without supporting photographs (for product complaints) cannot be efficiently processed.

Please note: any unsolicited commercial solicitation (partnership proposal, supplier outreach) received through customer service channels will be disregarded. NumerikArt does not follow up on such approaches.


Article 11 – Personal Data

Personal data collected during the order process (name, address, email, delivery address) is processed by NumerikArt and the Shopify platform for the sole purpose of processing and delivering orders, and for commercial communication where the customer has given their consent.

In accordance with the General Data Protection Regulation (GDPR — EU 2016/679), customers have the right to access, rectify, delete, and port their data, as well as the right to object to processing. These rights may be exercised by contacting NumerikArt at the address provided in Article 10.

Data is not sold to third parties. Shopify may process certain data as part of its service delivery (payment, logistics). Shopify's privacy policy is available on their official website.


Article 12 – Limitation of Liability

NumerikArt cannot be held liable for any indirect damages resulting from the use of products or the Store. NumerikArt's liability is limited to the amount of the relevant order.

NumerikArt does not guarantee the permanent availability of the Store and reserves the right to temporarily suspend it for maintenance or updates without prior notice.


Article 13 – Governing Law and Disputes

These T&Cs are governed by French law. In the event of a dispute, an amicable resolution will be sought first through customer service (Article 10). If no resolution is reached within 30 days, the dispute may be referred to mediation via the European Online Dispute Resolution (ODR) platform, accessible at: https://ec.europa.eu/consumers/odr.

As a last resort, the competent French courts in the jurisdiction of Marignane (Bouches-du-Rhone, France) shall have exclusive jurisdiction, subject to any mandatory provisions applicable in the customer's country of residence.


Article 14 – Amendment of T&Cs

NumerikArt reserves the right to amend these T&Cs at any time. The T&Cs applicable to an order are those in force at the time the order is confirmed. It is the customer's responsibility to review the T&Cs before each purchase.
